Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of all products, services, websites, and applications provided by AppVerge Private Limited ("AppVerge", "we", "us", or "our"), including but not limited to our CRM platform, ERP solutions, mobile application development services, BBPS API, and website builder (collectively, the "Services").

By registering an account, accessing, or using any of our Services, you ("User", "you") acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please discontinue use of our Services immediately.

1. Eligibility

To use our Services, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction
• Have the legal capacity to enter into a binding contract
• Not be barred from receiving services under applicable Indian law or any other applicable law
• Provide accurate, complete, and current registration information

If you are registering on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Account Registration & Security

• You must create an account to access most of our Services. You agree to provide truthful and accurate information during registration.
• You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• You must notify us immediately at support@appverge.in upon becoming aware of any unauthorised access to or use of your account.
• AppVerge will not be liable for any loss or damage arising from your failure to safeguard your account credentials.
• We reserve the right to suspend or terminate accounts that violate these Terms or are used in a fraudulent or illegal manner.

3. Description of Services

AppVerge provides the following categories of services (subject to the plan you subscribe to):

• CRM & ERP Platform — Cloud-based customer relationship management and enterprise resource planning tools
• Mobile App Development — Tools and APIs to build and deploy mobile applications
• Website Builder — No-code and low-code website creation and hosting
• BBPS API — Bharat Bill Payment System integration for recurring and utility bill payments, subject to NPCI guidelines and separate API agreements
• Support & Consulting — Technical support, onboarding, and professional services

We reserve the right to modify, suspend, or discontinue any Service (or part thereof) at any time with reasonable prior notice, except in cases of emergency or regulatory requirement.

4. Subscription, Pricing & Payment

• Access to premium Services requires a paid subscription as detailed on our Pricing page.
• All fees are quoted in Indian Rupees (INR) unless otherwise stated and are exclusive of applicable taxes (GST).
• Subscriptions are billed in advance on a monthly or annual basis. You authorise AppVerge to charge your chosen payment method on each billing cycle.
• Failure to pay may result in suspension of your account. Services will be restored upon receipt of outstanding dues.
• All payments are non-refundable except as expressly stated in our Refund Policy or as required by applicable law.
• AppVerge reserves the right to adjust pricing with 30 days' advance notice. Continued use of the Services after the notice period constitutes acceptance of the new pricing.

5. Free Trial

If AppVerge offers a free trial, it is available once per company or individual. We reserve the right to determine eligibility for and duration of free trials. At the end of the trial period, your account will automatically convert to the selected paid plan unless you cancel before the trial expires. No credit card charge will occur during the trial unless you have provided payment details and explicitly upgraded.

6. Acceptable Use Policy

You agree not to use our Services to:

• Violate any applicable local, national, or international law or regulation
• Send unsolicited bulk messages (spam) or engage in phishing or fraudulent activities
• Upload, transmit, or distribute viruses, malware, or any other harmful code
• Attempt to gain unauthorised access to AppVerge systems, servers, or user accounts
• Scrape, reverse-engineer, decompile, or disassemble any part of our Services
• Use our Services in connection with illegal money transfers, money laundering, or terrorist financing
• Infringe on the intellectual property rights of AppVerge or any third party
• Impersonate any person, business, or entity
• Interfere with or disrupt the integrity or performance of the Services or related systems

7. BBPS API Terms

Use of AppVerge's BBPS API is additionally governed by:

• NPCI's operational guidelines for the Bharat Bill Payment System
• Reserve Bank of India (RBI) regulations applicable to bill payment aggregators
• A separate API Agreement ("BBPS API Agreement") which you must execute prior to accessing BBPS services

You agree to use BBPS API services only for lawful bill payment transactions. You must not use the BBPS API to process fictitious, fraudulent, or test transactions in a live environment. AppVerge reserves the right to suspend BBPS API access immediately upon detecting suspicious or non-compliant activity, and will report the same to NPCI as required.

8. Intellectual Property

All content, software, technology, trademarks, logos, and materials made available through our Services ("AppVerge IP") are owned by or licensed to AppVerge Private Limited and are protected by applicable intellectual property laws.

• We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes.
• You may not copy, modify, distribute, sell, or lease any part of AppVerge IP, nor reverse-engineer or extract source code from our software.
• Any feedback, suggestions, or ideas you submit regarding our Services may be used by AppVerge without any obligation to compensate you.

You retain ownership of all data and content you upload to our platform ("Your Content"). By uploading Your Content, you grant AppVerge a non-exclusive, worldwide licence to host, process, and display Your Content solely to provide the Services to you.

9. Data Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described therein.

10. Confidentiality

Each party agrees to keep the other party's confidential business information, technical data, and trade secrets strictly confidential and not to disclose such information to any third party without prior written consent, except as required by law. This obligation survives termination of your account or these Terms.

11. Third-Party Services & Integrations

Our Services may integrate with or link to third-party platforms, APIs, or services. AppVerge does not control and is not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party integrations is at your own risk and governed by the respective third party's terms.

12. Disclaimers & Limitation of Liability

Our Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

• AppVerge does not warrant that the Services will be uninterrupted, error-free, or free from viruses or other harmful components.
• AppVerge is not responsible for any loss of data, revenue, profits, or goodwill arising from your use of or inability to use the Services.
• To the maximum extent permitted by applicable law, AppVerge's total aggregate liability to you for any claim arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to AppVerge in the three (3) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless AppVerge Private Limited, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use or misuse of the Services
• Your violation of these Terms or any applicable law
• Your Content infringing the intellectual property or other rights of a third party
• Any disputes between you and another user or third party

14. Termination

Either party may terminate these Terms or your account at any time:

• By you — by cancelling your subscription through your account settings or by contacting our support team
• By AppVerge — immediately and without notice for material breach of these Terms, fraudulent activity, or non-payment; or with 30 days' notice for any other reason

Upon termination, your right to use the Services will immediately cease. Clauses relating to intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law shall survive termination.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation within 30 days of written notice.

If the dispute cannot be resolved through negotiation, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted in English, and the seat of arbitration shall be India. The award of the arbitrator shall be final and binding on both parties.

Subject to the above, the courts of competent jurisdiction in India shall have exclusive jurisdiction over any matter not referred to arbitration.

16. Force Majeure

AppVerge shall not be liable for any failure or delay in performance of its obligations under these Terms due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government actions, internet outages, power failures, or pandemic-related disruptions. AppVerge will notify you as soon as reasonably practicable of such events.

17. Modifications to Terms

We may revise these Terms at any time. Material changes will be communicated via email or a prominent notice on our website at least 14 days before the changes take effect. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Services and cancel your account before the changes take effect.

18. Severability & Waiver

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

AppVerge's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

19. Entire Agreement

These Terms, together with our Privacy Policy and any applicable API Agreement or Order Form, constitute the entire agreement between you and AppVerge regarding the Services and supersede all prior agreements, representations, and understandings relating to the same subject matter.
